    End User License Agreement

    Last Updated: July 17, 2026

    1. AGREEMENT TO LICENSE TERMS

This End User License Agreement ("Agreement") is a legally binding agreement between you, whether personally or on behalf of an entity ("you", "your", or "End User") and Guardian Score, LLC, a Virginia limited liability company ("Guardian Score", "Company", "we", "us", or "our"), governing your access to and use of the Guardian Score software platform, including the Guardian Score customer console, administrative console, dashboards, mobile or web applications, application programming interfaces ("APIs"), software development kits ("SDKs"), client libraries, documentation, and any related software, updates, or components made available to you by Guardian Score (collectively, the "Software").

BY INSTALLING, ACCESSING, OR USING THE SOFTWARE, CLICKING "I AGREE", OR CREATING AN ACCOUNT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL, ACCESS, OR USE THE SOFTWARE.

If you are accessing the Software on behalf of an agency, department, municipality, company, or other legal entity (an "Organization"), you represent and warrant that you have authority to bind that Organization, and "you" refers to both you individually and the Organization.

    2. RELATIONSHIP TO OTHER AGREEMENTS

    2.1 Order of Precedence

If your Organization has entered into a separate written agreement with Guardian Score — including a signed proposal, trial or pilot terms of service, subscription agreement, master services agreement, or order form (each, a "Customer Agreement") — the Customer Agreement governs to the extent of any conflict with this Agreement, including with respect to fees, term, termination, data ownership and use, confidentiality, and limitations of liability. This Agreement governs your individual use of the Software in all cases not addressed by a Customer Agreement.

    2.2 Incorporated Documents

Your use of the Software is also subject to the Guardian Score Terms of Service and Privacy Policy, each of which is incorporated into this Agreement by reference. Supplemental terms may apply to specific Software components (for example, API or SDK usage terms) and are incorporated when presented to you.

    2.3 Changes

We may modify this Agreement from time to time. For material changes, we will provide notice through the Software or by email before the changes take effect. Your continued use of the Software after the effective date of revised terms constitutes acceptance of the changes. If you do not agree to a change, you must stop using the Software.

    3. LICENSE GRANT

    3.1 Platform License

Subject to your compliance with this Agreement and payment of any applicable fees, Guardian Score grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the applicable subscription term to access and use the Software solely for your Organization's internal business or governmental purposes.

    3.2 SDK and API License

If Guardian Score makes SDKs, client libraries, or APIs available to you, Guardian Score grants you a limited, non-exclusive, non-transferable, revocable license to install and use them solely to develop and operate integrations between your Organization's authorized systems and the Guardian Score platform, in accordance with the applicable documentation. Open source components distributed with the SDKs are licensed under their own license terms, which govern those components in place of this Section.

    3.3 Documentation

You may reproduce and use Guardian Score documentation solely to support your authorized use of the Software.

    3.4 Reservation of Rights

The Software is licensed, not sold. Guardian Score and its licensors reserve all rights not expressly granted in this Agreement. No license is granted by implication, estoppel, or otherwise.

    4. LICENSE RESTRICTIONS

You must not, and must not permit any third party to:

    1. Copy, modify, adapt, translate, or create derivative works of the Software
    2. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, scoring methodologies, or file formats of the Software, except to the extent such restriction is prohibited by applicable law
    3. Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make the Software available to any third party
    4. Use the Software to provide services to third parties (service bureau, SaaS, or time-sharing use) without a written agreement with Guardian Score
    5. Remove, alter, or obscure any proprietary notices on or in the Software
    6. Circumvent or interfere with any security, access-control, rate-limiting, or usage-measurement feature of the Software
    7. Use the Software to develop a competing product or service, or copy any feature, function, methodology, or user interface of the Software
    8. Perform benchmarking or publish performance analyses of the Software without our prior written consent
    9. Use automated means (scraping, crawling, bulk export) to extract data from the Software except through documented APIs
    10. Share, transfer, or sell account credentials, or allow more individuals to access the Software than the number of seats or licenses authorized
    11. Use the Software in violation of any applicable law or regulation, including laws governing law enforcement records, personnel records, criminal justice information, and personal data
    12. Submit to the Software any data you do not have the legal right to submit
    13. Use the Software to harass, discriminate against, retaliate against, or make adverse decisions about any individual except through lawful processes your Organization is authorized to conduct
    14. Use, represent, or advertise the Software as a police complaint tool or a substitute for any formal complaint, internal affairs, or disciplinary process
    15. Upload or transmit viruses, malware, or other harmful code

    5. ACCOUNTS AND SECURITY

    1. You are responsible for maintaining the confidentiality of your account credentials and API keys and for all activity under your account
    2. Credentials are personal to you and may not be shared
    3. You must notify Guardian Score immediately at info@guardianscore.com of any unauthorized access or suspected security incident involving the Software
    4. Guardian Score may suspend or disable any account that it reasonably believes has been compromised or is being used in violation of this Agreement

    6. OWNERSHIP AND DATA

    6.1 Guardian Score Property

Guardian Score and its licensors own all right, title, and interest in and to the Software, including all software, scoring methodologies, algorithms, analytics, models, benchmarks, aggregated statistics, designs, and documentation, and all intellectual property rights therein.

    6.2 Your Data

As between the parties, you or your Organization retain ownership of the data you or your Organization submit to the Software and of community feedback data collected through the Software on your Organization's behalf ("Customer Data"). You grant Guardian Score a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and analyze Customer Data as necessary to provide, maintain, secure, and improve the Software, consistent with the Privacy Policy and any Customer Agreement. Guardian Score will not publish Customer Data or disclose it to third parties except as necessary to provide the Software, as required by law, or as permitted by the applicable Customer Agreement or the written consent of your Organization.

    6.3 Aggregated and De-Identified Data

Except to the extent restricted by an applicable Customer Agreement, Guardian Score may create and use aggregated or de-identified data derived from use of the Software (including for benchmarking, research, and product improvement), provided such data does not identify you, your Organization, or any individual.

    6.4 Feedback

If you provide suggestions, ideas, or feedback about the Software, Guardian Score may use them without restriction or obligation to you.

    7. CONFIDENTIALITY

The Software, its non-public features, documentation, security information, pricing, and any non-public information about Guardian Score's methodologies, technologies, and business practices are Guardian Score's confidential information. You agree to protect such information with at least reasonable care, use it only as authorized under this Agreement, not disclose it to any third party, and return or destroy it upon request. This Section does not limit any obligations under a Customer Agreement or applicable public-records law; if you are a governmental entity subject to freedom-of-information or public-records requirements, you agree to provide Guardian Score prompt notice of any request for Guardian Score confidential information to the extent permitted by law.

    8. UPDATES, SUPPORT, AND AVAILABILITY

    1. Guardian Score may provide updates, upgrades, patches, or new versions of the Software at its discretion, and such updates are governed by this Agreement unless accompanied by separate terms
    2. Updates may be installed automatically for hosted components
    3. Guardian Score may modify, deprecate, or discontinue features, APIs, or SDK versions, and will use reasonable efforts to provide advance notice of material deprecations affecting documented APIs
    4. Support obligations, service levels, and uptime commitments, if any, are as stated in the applicable Customer Agreement; this Agreement itself does not entitle you to any support or availability commitment

    9. FEES

Access to the Software may require payment of fees under an order form or Customer Agreement. Except as expressly stated in a Customer Agreement, fees are non-refundable. Guardian Score may suspend access for non-payment after reasonable notice.

    10. TERM AND TERMINATION

    10.1 Term

This Agreement is effective from the date you first accept it or first install, access, or use the Software, and continues until terminated.

    10.2 Termination

    1. You may terminate this Agreement at any time by ceasing all use of the Software and deleting all copies of any locally installed components
    2. Guardian Score may terminate or suspend this Agreement or your access immediately if you breach this Agreement, if required by law, or upon expiration or termination of the applicable Customer Agreement or subscription
    3. Guardian Score may terminate this Agreement for convenience upon thirty (30) days' notice if no active Customer Agreement applies to your use

    10.3 Effect of Termination

Upon termination: (a) all licenses granted to you immediately end; (b) you must stop using the Software and destroy all copies of any installed components and documentation in your possession; and (c) any provision that by its nature should survive termination survives, including Sections 4, 6, 7, and 11 through 15. Any rights to retrieval or deletion of Customer Data after termination are as stated in the applicable Customer Agreement and Privacy Policy.

    11. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, GUARDIAN SCORE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, GUARDIAN SCORE DOES NOT WARRANT THAT:

    1. THE SOFTWARE WILL MEET YOUR REQUIREMENTS
    2. THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
    3. ANY SCORES, ANALYTICS, RATINGS, OR OTHER OUTPUTS OF THE SOFTWARE WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR DECISION
    4. ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED
    5. THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

SCORES, ANALYTICS, AND REPORTS PRODUCED BY THE SOFTWARE ARE INFORMATIONAL TOOLS ONLY. THEY ARE NOT LEGAL, EMPLOYMENT, OR DISCIPLINARY ADVICE, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DECISION MADE IN RELIANCE ON THEM, INCLUDING COMPLIANCE WITH ALL LAWS, COLLECTIVE BARGAINING AGREEMENTS, AND DUE-PROCESS REQUIREMENTS APPLICABLE TO SUCH DECISIONS.

    12. LIMITATION OF LIABILITY

    12.1 Exclusion of Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL GUARDIAN SCORE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF USE, DATA, BUSINESS, GOODWILL, OR PROFITS, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, REGARDLESS OF THE FORM OF ACTION AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    12.2 Cap on Liability

GUARDIAN SCORE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF:

    1. THE AMOUNTS PAID BY YOU OR YOUR ORGANIZATION FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR
    2. ONE HUNDRED DOLLARS ($100)

    12.3 Application

These limitations apply regardless of the form of action, whether or not damages were foreseeable, and to the fullest extent permitted by law, but do not limit any rights that cannot lawfully be limited.

    13. INDEMNIFICATION

To the extent permitted by applicable law (and, for governmental entities, subject to applicable constitutional and statutory limitations on indemnity), you agree to defend, indemnify, and hold harmless Guardian Score and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (1) your use of the Software in violation of this Agreement or applicable law; (2) Customer Data you submit; (3) your violation of any third-party right; or (4) decisions made by you or your Organization in reliance on Software outputs. This obligation survives termination of this Agreement.

    14. EXPORT CONTROLS AND GOVERNMENT USE

    14.1 Export Compliance

You may not use, export, re-export, or transfer the Software except as authorized by United States law and the laws of the jurisdiction in which the Software was obtained. You represent that you are not located in an embargoed country and are not on any U.S. government restricted-party list.

    14.2 U.S. Government End Users

The Software is "commercial computer software" and "commercial computer software documentation" as defined in applicable FAR and DFARS provisions. If you are a U.S. government end user, the Software is licensed only with the rights granted to all other end users under this Agreement, consistent with FAR 12.212 and DFARS 227.7202.

    15. DISPUTE RESOLUTION

    15.1 Governing Law and Venue

This Agreement is governed by the laws of the Commonwealth of Virginia, without giving effect to its choice of law principles. For any court proceedings permitted under this Agreement, you consent to the exclusive jurisdiction and venue of the federal and state courts located in Richmond, Virginia. If you are a governmental entity whose governing law is fixed by statute, this Section applies only to the extent permitted by that law.

    15.2 Pre-Arbitration Notice

Before initiating arbitration, the party seeking arbitration must send a written Notice of Dispute to the other party describing the nature and basis of the claim, the specific relief sought, and the notifying party's contact information, at least thirty (30) days before initiating arbitration.

    15.3 Binding Arbitration

Except for claims eligible for small claims court and claims for emergency relief, any dispute arising out of or relating to this Agreement or the Software shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) in Richmond, Virginia, under its Consumer Arbitration Rules for individuals using the Software for personal purposes, or its Commercial Arbitration Rules for all other users. The arbitration shall be conducted in English by a single arbitrator with at least ten (10) years of experience in software and technology law. The award shall be final and binding, and the proceedings and award shall remain confidential.

    15.4 Class Action Waiver

YOU AND GUARDIAN SCORE AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER PARTY ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. If this provision is found unenforceable, the entirety of this arbitration provision shall be null and void.

    15.5 Equitable Relief

Either party may seek emergency injunctive or other equitable relief in any state or federal court of competent jurisdiction in Richmond, Virginia to prevent actual or threatened infringement or misappropriation of intellectual property rights, unauthorized use or disclosure of confidential information, or immediate irreparable harm.

    15.6 Time Limitation

Any claim must be commenced within one (1) year after the date the party asserting the claim first knows or reasonably should know of the act, omission, or default giving rise to the claim, or it is permanently barred.

    16. MISCELLANEOUS

    1. Entire Agreement. This Agreement, together with the Terms of Service, Privacy Policy, any applicable Customer Agreement, and any supplemental terms expressly incorporated, constitutes the entire agreement between you and Guardian Score regarding the Software
    2. Waiver. No waiver of any term is a further or continuing waiver of that term or any other term
    3. Severability. If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remainder remains in full force
    4. Assignment. You may not assign this Agreement without Guardian Score's prior written consent; Guardian Score may assign it without restriction
    5. Force Majeure. Guardian Score is not liable for any delay or failure to perform resulting from causes beyond its reasonable control
    6. Notices. Guardian Score may provide notices through the Software or by email to the address associated with your account
    7. Survival. Provisions that by their nature should survive termination survive, including ownership, confidentiality, warranty disclaimers, limitations of liability, indemnification, and dispute resolution
